These Terms of Service ("Terms") form a binding agreement between you and Meridian Global LLC ("Neoxra", "we", "us"), a New York limited liability company, governing your access to and use of the Neoxra service at neoxra.com (the "Service"). By creating an account, subscribing, or otherwise using the Service, you agree to these Terms.
You must be at least 18 years old to use the Service. By using the Service you represent that you have the legal capacity to enter into a binding contract.
You are responsible for the activity that occurs under your account, including any content generated through the Service. Keep your credentials secure. We may suspend or terminate accounts that violate these Terms or applicable law.
Paid plans are billed monthly or annually via Stripe in US Dollars. Free trial periods, where offered, are noted at checkout; payment instruments are charged at the end of the trial unless you cancel before the trial ends. You may cancel at any time from your Account page, which opens the Stripe Customer Portal. Cancellations take effect at the end of the current billing period; we do not provide pro-rated refunds for unused time except where required by law.
Each plan includes a monthly generation quota disclosed on the Pricing page. Free and Traffic tiers are hard-capped at their quota. Higher tiers may have soft caps with overage pricing as described on the Pricing page. We reserve the right to throttle excessive use that materially exceeds documented limits.
You may not (a) use the Service to generate content that is unlawful, defamatory, harassing, or infringes the rights of others; (b) reverse engineer, scrape, or attempt to extract our prompts, models, or proprietary logic; (c) resell or sublicense the Service without a written agreement; (d) use the Service to spam, mislead, or impersonate.
You retain ownership of the content you input and the content the Service generates for you. We retain all rights to the Service, including its codebase, models, prompts, voice profiles, and underlying infrastructure. You grant us a non-exclusive license to process your inputs for the purpose of providing the Service and improving model quality in aggregate, de-identified form.
The Service integrates with third-party providers including Anthropic, Google, Stripe, Render, Vercel, and others. Your use of these third parties is subject to their respective terms.
The Service is provided "as is" and "as available". We do not warrant that AI-generated content will be accurate, error-free, or fit for any particular purpose. You are responsible for reviewing all output before publication.
To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service shall not exceed the total fees you paid in the twelve (12) months preceding the claim. We are not liable for indirect, consequential, special, incidental, or punitive damages.
We may update the Service or these Terms from time to time. Material changes will be announced via email or a notice on the Service at least thirty (30) days before they take effect, except where shorter notice is required to address security or legal matters.
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute will be resolved by binding arbitration in New York County, New York under the Commercial Arbitration Rules of the American Arbitration Association.
